In 1884, three Columbia Law grads—John Woodruff Simpson, Thomas Thacher, and William Milo Barnum—hung a shingle in lower Manhattan. June 2019

Simpson Thacher hosts an annual Citywide Diversity event where prominent diversity proponents share their views to advance the dialogue of inclusion. Recent speakers include Preet Bharara, Misty Copeland, Lin-Manuel Miranda, and Bryan Stevenson. The 2019 event will feature trans activist Laverne Cox.

February 2019

The firm represented SiriusXM in its acquisition of Pandora in an all-stock transaction valued at approximately $3.5 billion. The combination creates the world’s largest audio entertainment company, with an enterprise value of more than $41 billion and a combined listener base spanning more than 65 million ad-supported listeners and more than 40 million subscribers.

August 2018

The Court of Appeals for Veterans Claims unanimously held that veterans may bring class actions against the U.S. Department of Veterans Affairs (VA). Simpson Thacher served as co-counsel with Yale Law School, challenging the years-long delays in VA resolution of disability benefits appeals. Chief Judge Robert Davis commented, “this is a watershed decision [that] will shape our jurisprudence for years to come and, I hope, bring about positive change for our Nation’s veterans.”

July 2018

Corporate Partners Elizabeth Cooper, Celia Lam, and Marni Lerner advised on three of the five largest private equity transactions of the first half of 2018, representing a Blackstone-led consortium, Ant Financial, and KKR, according to data from Mergermarket.

  • Simpson Thacher represented Microsoft in its $28.2 billion acquisition of LinkedIn.
  • In the biggest-ever takeover in the tech industry at closing, Simpson Thacher represented Dell and Silver Lake Partners in their $67 billion acquisition of EMC Corporation.
  • Simpson Thacher guided Chinese conglomerate Alibaba in its historic $25 billion IPO, shattering all records as the largest global IPO in history.
  • In one of the biggest media mergers in history, now a staple of business school case studies, the firm advised AOL in its $165 billion acquisition of Time Warner.
